These Terms of Use ("Terms") govern access to and use of the Civyx platform, operated by [COMPANY NAME] (hereinafter "Civyx"). By accessing the platform or creating an account, you agree to be bound by these Terms.
1. Acceptance of Terms
Use of the platform constitutes unconditional acceptance of these Terms. If you do not accept these Terms, you must stop using the platform immediately. Civyx reserves the right to amend these Terms at any time, subject to thirty (30) days' prior notice.
2. Role of Civyx
Civyx is a technology intermediary platform that connects volunteers, associations and companies. Civyx is not a party to volunteering engagements or relationships between users. Accordingly, Civyx assumes no liability for the performance or non-performance of commitments made by users towards each other, nor for the quality, lawfulness or availability of published missions.
3. Eligibility
Access to the platform is available to individuals aged at least 16 years and to legally incorporated entities. By accessing the platform, you represent that you meet these requirements and have the legal capacity to enter into these Terms.
4. User Account
You are responsible for maintaining the confidentiality of your login credentials and for all activities carried out through your account. You must notify Civyx immediately in the event of any unauthorised use of your account. Civyx shall not be liable for damages resulting from the unauthorised use of your account, except in the case of gross negligence on its part.
Information provided upon account creation must be accurate, complete and kept up to date. You may not create an account on behalf of another person without their authorisation.
5. User Obligations
By using the platform, you agree to:
- Provide accurate and up-to-date information;
- Use the platform in compliance with applicable laws and these Terms;
- Respect the rights of other users, in particular their privacy and dignity;
- Not republish, extract or commercially exploit platform data without written authorisation;
- Report any illegal or abusive content through the means provided for this purpose.
6. Prohibited Uses
The following uses of the platform are strictly prohibited:
- Any illegal activity or any activity contrary to public order or morality;
- Automated data collection (scraping, crawling, bulk extraction);
- Sending unsolicited messages (spam, phishing, unsolicited commercial communications);
- Impersonating another user, organisation or Civyx;
- Distributing defamatory, racist, hateful, pornographic, violent or otherwise objectionable content;
- Compromising the security, integrity or availability of the platform;
- Circumventing security measures or access controls;
- Creating fake accounts or artificially manipulating data (points, statistics).
7. Recognition Points
Recognition points awarded through the platform constitute a symbolic mechanism for recognising engagement. They have no monetary value, cannot be exchanged for currency, transferred to third parties, or assigned for consideration or otherwise.
Civyx reserves the right to modify the points accrual rules, expiry conditions or terms of use, with thirty (30) days' prior notice. Unused points may expire in accordance with the conditions set out in the account settings.
Any digital rewards accessible via points are subject to specific conditions communicated at the time of their availability. Civyx bears no responsibility for the availability or quality of rewards offered by third-party partners.
8. Account Suspension and Termination
Civyx reserves the right to suspend or terminate your account, with or without notice, in the event of:
- Breach of these Terms;
- Fraudulent, abusive or illegal conduct;
- Non-payment of applicable subscription fees;
- Prolonged inactivity as determined by Civyx;
- An order from a competent judicial or administrative authority.
In the event of suspension, you have thirty (30) days to contest the decision by submitting an appeal to contact@civyx.com. Civyx will process your request within a reasonable timeframe and provide a reasoned response.
9. Intellectual Property
Civyx and its licensors retain all intellectual property rights relating to the platform, its components, interface and source code. These Terms do not grant you any ownership rights in the platform or its content.
By publishing content on the platform, you grant Civyx a non-exclusive, worldwide, royalty-free, sublicensable licence to reproduce, adapt and distribute that content to the extent necessary to operate the service, within the limits of our Privacy Policy.
10. Disclaimer of Warranties
To the extent permitted by Swiss law, Civyx excludes all warranties, express or implied, in relation to the platform, including as to its continuous availability, freedom from errors, fitness for a particular purpose or the accuracy of the information contained therein.
11. Limitation of Liability
To the fullest extent permitted by Swiss law (in particular Art. 100 CO), Civyx's total liability under these Terms is limited to the amounts paid by the user in the twelve (12) months preceding the event giving rise to the claim.
Civyx shall in no event be liable for indirect, incidental, special, punitive or consequential damages, including loss of data, revenue, profits or business opportunities, regardless of the cause and regardless of the theory of liability (contractual, tortious or otherwise), except in cases of gross negligence or intentional misconduct by Civyx.
Civyx shall not be liable for the acts or omissions of users, associations or companies on the platform, or for damages resulting from their conduct.
12. Force Majeure
Civyx shall not be liable for any failure to fulfil its obligations caused by a force majeure event, meaning any unforeseeable, irresistible and external event beyond its control, including: Microsoft Azure infrastructure failures, internet outages, natural disasters, pandemics, acts of public authority, or large-scale cyberattacks.
13. Governing Law and Jurisdiction
These Terms are governed exclusively by Swiss law, excluding its conflict of laws rules and the United Nations Convention on Contracts for the International Sale of Goods. Any dispute arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of the Canton of [CANTON], Switzerland, subject to Civyx's right to bring proceedings before any other competent court.
14. Severability
If any provision of these Terms is found to be void or unenforceable, the remaining provisions shall remain in full force and effect. The void or unenforceable provision shall be replaced by a valid provision that most closely reflects the intent of the parties.
15. Entire Agreement
These Terms, together with Civyx's Privacy Policy and Cookie Policy, constitute the entire agreement between you and Civyx regarding use of the platform and supersede all prior agreements.
